SmartXchange is a platform for building a circular economy. We are a community tool for discovery and connection, not a traditional marketplace or digital retail service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Nature of the Platform

SmartXchange is a community platform where members post listings of household items they wish to rehome. The platform is designed to build a circular economy by facilitating the discovery and connection between two parties. SmartXchange is not a marketplace, broker, or digital service provider for retail commerce.

3. Facilitation of Connection and Discovery

Our role is strictly limited to facilitating the discovery of items and the connection between community members. SmartXchange does not facilitate, broker, or mediate any transaction or agreement between users.

The actual exchange of goods (including arrangements for pickup, drop-off, or shipping) is managed independently and entirely between the two parties, completely outside of the SmartXchange platform.

4. No Money Movement Between Users

There is no money movement between users on our platform. Users do not pay each other through SmartXchange at any point. We do not provide escrow, payment processing, or any financial mediation services for the exchange of items.

The only financial transaction that occurs is a platform fee paid directly by the user to SmartXchange — similar to a SaaS subscription or listing fee model — which grants access to the platform's community tools.

5. User Conduct

You agree not to use the Service to:

  • Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
  • Violate any applicable local, state, national, or international law.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

6. Independent Arrangements

As a user, you acknowledge that any interaction with another member is done at your own risk. SmartXchange is not a party to any transaction, exchange, or agreement. We do not guarantee the quality, safety, authenticity, or legality of items listed, nor the truth or accuracy of descriptions.

7. Limitation of Liability & Section 230 Protection

SmartXchange is a platform provider and, pursuant to Section 230 of the Communications Decency Act (47 U.S.C. § 230), is not responsible for any information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content") posted by users.

In no event shall SmartXchange be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your access to or use of the Service or any conduct or content of any third party on the Service.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. SmartXchange makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Subscription Refunds

We offer a 14-day refund for all paid subscriptions without any conditions or exceptions. If you are unsatisfied with your SmartXchange Pro subscription for any reason, you may request a full refund within 14 days of the initial transaction by contacting our support team at support@smartxchange.dev.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms of Service on this page.
